These Terms of Service govern the relationship between Dillenium and any client who engages our services. By purchasing any Dillenium service, booking a call, or submitting a Growth Assessment, you agree to these terms in full.
“Dillenium” or “we” or “us” refers to Dillenium, a digital agency registered in the United Arab Emirates, operating at dillenium.com.
“Client” or “you” refers to the individual or business entity that engages Dillenium’s services.
These terms apply to all services offered by Dillenium including brand identity, website design, AI automation, CRM setup, social media content, listing descriptions, and any other services listed on dillenium.com.
The specific services, deliverables, and timeline for each engagement will be confirmed in writing via email or a formal proposal before any payment is taken. Dillenium will not begin work on any service until the scope has been agreed and the setup fee has been received.
Any request to expand the scope of work beyond what was originally agreed will be treated as a new request and may require additional fees. Dillenium will provide a written estimate for any scope changes before proceeding.
To enable Dillenium to deliver services on time, the client agrees to:
Dillenium is not responsible for delays caused by the client’s failure to provide materials, feedback, or access in a timely manner. Delivery timelines are contingent on the client fulfilling their responsibilities.
Some Dillenium services require third-party platform subscriptions paid directly by the client — for example, Go High Level ($97/mo), IDX Broker (~$55–80/mo), or Twilio usage costs. These costs are disclosed upfront in the service description and proposal and are not included in Dillenium’s fees unless explicitly stated.
Setup fees are due in full before work commences. Work will not begin until payment has been received and confirmed. Setup fees are processed via Stripe or PayPal as selected at checkout.
Monthly retainers are billed in advance on the same calendar date each month. If a payment fails, Dillenium will attempt to collect it up to three times over 7 days. If payment is not received within 10 days of the due date, Dillenium reserves the right to pause service delivery until the outstanding balance is settled.
Invoices unpaid after 14 days of the due date may incur a late fee of 2% per month on the outstanding balance. Dillenium reserves the right to suspend services on accounts with outstanding balances exceeding 30 days.
All prices are listed and charged in US Dollars (USD). International clients are responsible for any currency conversion fees charged by their bank or payment provider.
Upon receipt of full payment for the relevant service, the client receives full ownership of all final deliverables produced by Dillenium — including logo files, brand assets, website design files, and written content created as part of the agreed scope.
Dillenium retains ownership of all work in progress until final payment is received. Draft deliverables, design concepts, and strategic documents shared during the project remain Dillenium’s intellectual property until the engagement is fully paid.
Dillenium reserves the right to display completed work in its portfolio, website, and marketing materials unless the client explicitly requests otherwise in writing prior to the start of the project.
If any third-party assets are incorporated into deliverables (stock photography, licensed fonts, icon libraries), the client is responsible for ensuring ongoing licence compliance after handover. Dillenium will notify the client of any such assets at the time of delivery.
Both parties agree to keep confidential any non-public information shared during the course of the engagement — including business strategies, client lists, pricing, and proprietary processes. This obligation continues for 2 years after the termination of the service relationship.
Dillenium will not share client business information with competitors or use it for any purpose other than delivering the agreed services.
Dillenium’s services are provided in good faith using current best practices in web design, AI automation, and digital marketing. However, Dillenium does not guarantee specific business outcomes — including specific numbers of leads generated, conversion rates, commission income, or revenue increases.
Results depend on many factors outside Dillenium’s control, including the client’s market conditions, lead sources, personal follow-up, and the quality of client-provided assets and information.
To the maximum extent permitted by law, Dillenium’s total liability to any client for any claim arising from or related to our services shall not exceed the total amount paid by the client to Dillenium in the 3 months preceding the claim.
Dillenium is not liable for any indirect, incidental, consequential, or punitive damages, including loss of business, loss of revenue, or loss of data.
The client warrants that:
The client may terminate any monthly retainer service by providing 30 days’ written notice to [email protected]. Setup fees are non-refundable as outlined in the Refund Policy. The client will continue to receive full service delivery throughout the 30-day notice period.
Dillenium reserves the right to terminate any client engagement with immediate effect in the following circumstances:
In the event of termination by Dillenium for the above reasons, fees paid for services already delivered are non-refundable.
These Terms of Service are governed by and construed in accordance with the laws of the United Arab Emirates.
In the event of a dispute, both parties agree to first attempt resolution through direct negotiation in good faith. If a resolution cannot be reached within 30 days of written notice of a dispute, the matter may be referred to mediation before any legal proceedings are commenced.
Both parties waive the right to participate in class action lawsuits in connection with any dispute arising under these terms.
Dillenium may update these Terms of Service from time to time. Updated terms will be posted on this page with a revised “Last Updated” date. Continued use of Dillenium’s services after an update constitutes acceptance of the revised terms. We will notify active clients of any material changes via email.
